GSI to acquire e-Dialog

King of Prussia, Pa.—GSI Commerce, an e-commerce company, announced it has agreed to acquire e-Dialog Inc., a Lexington, Mass.-based e-mail marketer, for $157.0 million, including $147.8 million cash and restricted shares of GSI valued at $9.2 million. In addition, GSI will be obligated to make an additional cash payment of $750,000 in fiscal 2009 if net revenue targets are achieved in fiscal 2008.

GSI said the acquisition will expand the breadth and depth of its interactive marketing services capabilities and its reach into existing and new vertical markets. E-Dialog will operate as a wholly owned subsidiary of GSI and retain its name, offices and employees.

The deal is expected to close within 30 days.
