Omniture to acquire Visual Sciences

Orem, Utah—Web analytics provider Omniture announced Thursday it has agreed to acquire competitor Visual Sciences in a stock and cash deal valued at about $394 million.

Omniture said the combination of its capabilities with San Diego-based Visual Sciences’ own Web analytics will enable it to expand into new markets.

Under the terms of the agreement, Visual Sciences shareholders will receive $2.39 in cash per share and a fixed exchange ratio of 0.49 shares of Omniture stock for each Visual Sciences share, on a fully diluted basis.

The acquisition is expected to close by the middle of next year.
