Private equity firm to buy CDW

Vernon Hills, Ill.—CDW Corp., a b-to-b technology products company, announced it has agreed to be acquired by Madison Dearborn Partners, a Chicago-based private equity firm, in a deal valued at about $7.3 billion.

Before approving the agreement, CDW’s board of directors conducted an auction process in which a number of potential bidders participated.

Under the agreement, CDW will, with the assistance of Morgan Stanley, actively solicit proposals from third parties during the next 30 days.

The transaction is expected to be completed near the end of the third quarter or early in the fourth quarter.
