CHURCH & DWIGHT AGREES TO $100 MILLION PURCHASE OF USA DETERGENTS

(April 2, 2001) -- Church & Dwight today agreed to acquire USA Detergents for about $100 million, cementing a relationship that began when the two companies combined sales and marketing operations for their laundry detergent products last year.

The deal, expected to close in June, adds the Xtra laundry detergent and Nice'N Fluffy fabric softener value brands to Church & Dwight's Arm & Hammer laundry and softener brands. Combined, the two companies represent $400 million in laundry product sales, pushing Princeton, N.J.-based Church & Dwight ahead of Dial Corp. as the No. 3 in the U.S. laundry products business, behind Procter & Gamble Co. and Unilever. -- Jack Neff
