DETROIT (AdAge.com) -- Phillips Petroleum Co., which completed it acquisition of Tosco Corp. in September, has agreed to a $35 billion merger with Conoco Inc.

The deal, which requires federal approval, is expected to close in the second half of 2002.

Omnicom Group's DDB Worldwide, Dallas, handles Phillips. Interpublic Group of Cos.' Campbell-Ewald, Warren, Mich., has Conoco.

A spokesman at Phillips said any questions about which brand will survive will be dealt with next year.
