Notes: 1) Total compensation adds the columns of salary, bonus, and "other"; "other" includes the "other annual compensation" column in the proxy under annual compensation, restricted stock awards and long-term incentive plan payouts under long-term compensation awards, and "all other compensation." These are the only proxy columns with dollar values. 26) In the demerger of Cordiant in December 1997, the company halved itself into Cordiant Communications Group and Saatchi & Saatchi PLC. The former is largely the Bates Worldwide network. Charles Scott, chairman of former Cordiant, currently is on the CCG and the Saatchi boards. He will vacate his Saatchi directorship on January 1, and retain his place on the CCG board. 27) Yuri Radzievsky, who emigrated to the U.S. from the USSR in 1973, is co-founder of YAR Communications, New York, an agency acquired by Leap in April 1997 and briefly joined with Kang & Lee Advertising (acquired by Leap in November 1997) under the One World Communications banner. His spouse, Anna Radzievsky, is managing partner of One World. Subsequently, Young & Rubicam this October acquired Kang & Lee and some AT&T ad business from YAR. 28) Frederick Smith, a founder of Leap Group, replaced Steven Lutterbach, chairman/CEO, as acting CEO in August 1997 when Mr. Lutterbach suffered internal injuries in an automobile accident. Mr. Smith became chairman/CEO in March 1998 when Mr. Lutterbach retired for health reasons related to the accident. 29) Daniel M. Snyder and Michele D. Snyder are siblings. 30) Ronald Bloom was president in May 1998 when Scott A. Mednick, chairman/CEO, left the company. Mr. Bloom assumed Mr. Mednick's titles. Think New Ideas Inc. is 14% owned by Omnicom Group. 31) Chris Jones got the CEO title from Burt Manning in January 1997 and gained Mr. Manning's chairman title in early 1998. Mr. Manning, 67, is now chairman emeritus. 32) Thomas Bell moved from president/CEO Young & Rubicam Diversified Communications Group and Burson-Marsteller (salary shown is for B-M) to chairman/CEO Y&R Advertising in September 1998 replacing Edward H. Vick. Mr. Vick remains COO Young & Rubicam and chairman/CEO Y&R/WCJ Partnership. AA Chart: R. Craig Endicott, Megan Friedly, and Peter Killian
