Traveling brands: Northstar seeks vertical dominance with acquisitions

Kemp said the acquisition of the Nielsen Business Media Travel Group goes against a lot of standard practices in mergers and acquisitions. First, he plans to keep Successful Meetings in operation, even though it competes directly with Northstar's Meetings & Conventions. In the due diligence phase of the acquisition, Kemp said, Northstar found that M&C and Successful Meetings had surprisingly little overlap in circulation.

Additionally, Kemp said Northstar doesn't plan to reduce head counts at the new properties. Instead, he hopes to add employees, he said, because the products have been starved of investment over the past few years. He also noted that Northstar paid a good price for the properties, so no cost-cutting is necessary to reach post-sale EBITDA targets.

Kemp summarized the deal this way: “We're trying to strengthen our core market position with these strong brands and take advantage of an attractive price.”
